BCM Website User Agreement

I. BCM network account

1. Users shall, in good faith, provide registration information to BCM and provide follow-up information in actual business to improve account information. 2. Trading platform services

1. 3. After the user submits the order, the order is valid for 15 calendar days.After such period, if the order is not effective under the rules of this Agreement, the order shall no longer be valid.If the user still needs to purchase the relevant commodities, he shall submit the order again.

4. The User agrees that BCM has the right to withdraw or modify the commodity information displayed on BCM in the case of error or out of stock, and has the right to limit the quantity of goods ordered.By submitting an order, User is responsible for the accuracy of the information confirmed in the order, such as the goods ordered, the shipping address and the consignee.

5. The price of each commodity shown on BCM website includes the tax stipulated by law. The delivery charge will be separately charged according to the delivery policy published on BCM website and the delivery method selected by users.BCM reserves the right to change the above information regarding prices and delivery charges without prior notice.

Rights and obligations of users

1. Users have the right to inquire commodity information, order specific commodities, participate in related activities of BCM network and use other services provided by BCM Network in accordance with the provisions of this Agreement and the relevant rules published on BCM Network.

2. Users shall guarantee that they shall abide by the principle of good faith in the process of purchasing goods on BCM network and shall not disturb the normal order of online transactions.

3. When placing an order, the user shall carefully confirm the name, price, quantity, model, specification, size, contact address, telephone number, consignee and other information of the goods purchased.If the consignee is inconsistent with the user, the act and expression of intention of the consignee shall be regarded as the act and expression of intention of the user, and the user shall be jointly and severally liable for the legal consequences of the act and expression of intention of the consignee.

Rights and obligations of BCM Network

2. BCM Network shall have the right to deal with the following behaviors of users on BCM Network without prior notice or consent of users:

② If the user violates the provisions of this Agreement or violates laws, regulations and local rules, BCM Net has the right to take measures including but not limited to restricting the user's order, canceling the user's account, disclosing, litigating or arbitrating to the relevant competent authorities in accordance with relevant laws and regulations;

User hereby grants BCM a free and permanent exclusive right of use and has the right to sublicense such right to use, copy, modify, rewrite, publish, translate and display all or part of the information registered or posted by User on BCM Network worldwide, or to produce derivative works thereof.And/or in any form, medium or technology now known or developed in the future, to incorporate such information in other works of BCM Network.

V. Service rules of trading platform

1. 2. Rule of commodity shortage: Due to market changes and the influence of various factors that are difficult to control with reasonable commercial efforts, BCM network cannot promise that the products that users want to buy by submitting an order will be available;Both User and BCM have the right to cancel the order in the event of a stock shortage of the goods or services ordered by User.

3. Distribution rules: BCM is responsible for delivering the ordered goods to the agreed address of the order, and delivering the goods after checking the identity of the consignee.All delivery times listed on BCM are for reference only.The reference time is calculated based on inventory status, order processing process and distribution location.

BCM Network shall not be liable for the delay of delivery due to the following circumstances:

(1) The order content cannot be agreed with the user;

(2) The information provided by the user is wrong, the address is not detailed, etc.;

(3) no one signs for receipt of the goods after delivery, which results in the inability or delay of delivery;

(4) caused by circumstances change;

(5) Force majeure, such as natural disasters, traffic restrictions, sudden wars, etc.

4. Return and exchange rules: BCM has the right to formulate and publish commodity return and exchange rules to regulate commodity trading behavior, and has the right to modify and interpret the rules.By submitting an order on BCM, a user accepts the return and exchange rules of BCM.

5. Order cancellation rules:

① The user has the right to cancel the order under the following circumstances:

a) Those reached by the user and BCM through negotiation;

b) Before BCM makes a commitment to the user's order;

c) If there is any change or error in the commodity price published on BCM website, User notifies BCM Website before delivery.

② BCM network in the following circumstances, can cancel the user order:

a) Those reached by BCM and users through negotiation;

b) The commodity information displayed on BCM website is obviously wrong or out of stock;

c) The user's order information is obviously wrong or the user's order quantity exceeds the stock quantity of BCM network.

③ BCM network in the following circumstances, can also cancel the user's order:

a) Due to force majeure, BCM network system failure or attack by a third party, or other circumstances beyond BCM network's control, the user's order needs to be cancelled according to BCM network's judgment;

b) In the judgment of BCM, the user's ordering behavior does not conform to the principle of fairness or good faith (such as a user repeatedly refuses to accept the ordered goods without any reason);

c) Other circumstances under which a user's order may be cancelled according to various rules that BCM has published or may publish or update in the future.

Limitation of Liability and Force Majeure

1. To the extent permitted by laws and regulations, BCM shall bear no more liability for any damage or economic loss caused by the use of BCM Network services than the direct income actually obtained by users with respect to the goods purchased in connection with the claim.These limits of liability will be applied to the fullest extent permitted by law and will remain in effect after the user's account is deactivated.

BCM Network provides users with all information, content, materials, products (including software) and services only on the basis of "as is" and "as is".Unless otherwise expressly stated in writing, BCM Network makes no warranty of any kind, express or implied, regarding its information, content, materials, products (including software) or services contained on BCM Network.

③ BCM shall have the right to terminate the service provided to the user once it is found that the contents of the user's registration information and the necessary business information submitted subsequently are false;

(4) When this agreement is modified or updated, if the user is unwilling to accept the new service agreement, BCM Network has the right to terminate the service provided to the user;

⑤ Other circumstances in which BCM network considers it necessary to terminate the provision of services.

8. Applicable law and jurisdiction

The conclusion, execution and interpretation of this Agreement and the settlement of disputes shall be governed by the laws of the People's Republic of China.In the event of any conflict between this Agreement and the law, the provisions shall be reinterpreted in accordance with the law and the other provisions shall remain in force.Any dispute arising from the content or performance of this Agreement shall be settled by both parties through friendly negotiation.If the negotiation fails, either party shall file a lawsuit with the court having jurisdiction in the place where Shenzhen Shanda Medical Technology Co., LTD is located.

9. Intellectual Property rights

2. X. Information protection
